Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and SyconX LLC ("Company," "we," "our," or "us") governing your access to and use of the ConnextLive platform and associated services ("Service"). By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1 Eligibility and Account Registration

You must be at least 18 years of age and have the authority to enter into binding agreements on behalf of yourself or your organization to use the Service.

  • You agree to provide accurate, current, and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately at legal@syconx.com if you suspect unauthorized access to your account.
  • Each account may only represent one organization. You may not share login credentials across organizations.
  • We reserve the right to refuse or terminate accounts that violate these Terms.

2 Description of Service

ConnextLive is a cloud-based customer support platform that provides businesses with live chat infrastructure, conversation management, visitor tracking, analytics, knowledge base tools, and related features ("Service"). The Service is provided on a subscription basis.

  • Features available to you depend on your active subscription plan.
  • We may modify, update, or discontinue features at any time with reasonable notice.
  • Beta features are provided "as is" and may be discontinued without notice.

3 Subscription Plans and Payment

Access to the Service requires a paid subscription, except where a free tier or trial is explicitly offered.

  • Subscriptions are billed in advance on a monthly or annual basis, as selected at checkout.
  • All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
  • We use Stripe, Inc. to process payments. By subscribing, you authorize us to charge your payment method on a recurring basis.
  • If a payment fails, we will notify you and may suspend your account until payment is resolved.
  • Prices may change with 30 days' advance notice. Continued use after the notice period constitutes acceptance of the new pricing.
  • Annual subscriptions may be cancelled for a pro-rated refund within 14 days of the renewal date.
  • We do not offer refunds for partial months on monthly subscriptions.

4 Free Trials

We may offer time-limited free trials at our sole discretion. At the end of the trial period, your account will either require a paid subscription or revert to any available free tier. We reserve the right to modify or cancel trial offers at any time.

5 Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You may not use the Service to:

  • Transmit spam, unsolicited messages, or bulk commercial communications.
  • Distribute malware, viruses, or any harmful code.
  • Collect personal data without appropriate legal basis or user consent.
  • Engage in harassment, abuse, or threatening behavior.
  • Attempt to gain unauthorized access to the Service, its systems, or other users' accounts.
  • Reverse engineer, decompile, or disassemble any component of the Service.
  • Resell or sublicense the Service without our written consent.
  • Use the Service in any manner that could damage, disable, or impair the platform or its users.
  • Violate any applicable data protection, privacy, or anti-spam laws.

Violation of this policy may result in immediate account suspension or termination without refund.

6 Intellectual Property

All intellectual property rights in the Service, including software, interfaces, documentation, trademarks, and logos, are and remain the exclusive property of SyconX LLC. These Terms do not grant you any ownership rights in the Service.

  • You retain all rights to the data you upload or create within the platform ("Customer Data").
  • You grant us a limited, non-exclusive license to process and store Customer Data solely to provide the Service.
  • You must not remove, alter, or obscure any copyright, trademark, or other proprietary notices.

7 Data Processing and Privacy

By using the Service, you act as the Data Controller for the personal data of your customers and website visitors processed through ConnextLive. SyconX LLC acts as a Data Processor on your behalf.

  • You are responsible for ensuring you have a valid legal basis to collect and process visitor and customer data through the Service.
  • You must maintain an appropriate privacy policy on your website disclosing the use of the ConnextLive widget.
  • Our processing of your data is governed by our Privacy Policy and applicable data protection laws.
  • For GDPR compliance, a Data Processing Agreement (DPA) is available upon request at legal@syconx.com.

8 Confidentiality

Each party may have access to confidential information of the other party in connection with the Service. Each party agrees to:

  • Maintain the confidentiality of the other party's confidential information with at least the same degree of care used to protect its own confidential information.
  • Not disclose confidential information to third parties without prior written consent.
  • Use confidential information solely for the purposes of this agreement.

This obligation does not apply to information that is or becomes publicly available through no breach of this agreement, or that is independently developed without reference to confidential information.

9 Service Availability and SLA

We commit to a 99.9% monthly uptime target for the Service, excluding scheduled maintenance and circumstances beyond our reasonable control.

  • We will provide reasonable advance notice of scheduled maintenance.
  • In the event of downtime exceeding our SLA, you may be eligible for service credits as described in your subscription plan.
  • We are not responsible for outages caused by third-party services, internet connectivity issues, or your own infrastructure.

10 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYCONX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

12 Indemnification

You agree to indemnify, defend, and hold harmless SyconX LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service in violation of these Terms.
  • Your Customer Data or its processing.
  • Your violation of any third-party rights, including intellectual property or privacy rights.
  • Your violation of any applicable law or regulation.

13 Termination

Either party may terminate these Terms at any time:

  • You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
  • We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason with 30 days' notice.
  • Upon termination, your access to the Service will cease. You may request a data export within 30 days of termination. After 60 days, your data will be permanently deleted.

14 Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved as follows:

  • Both parties agree to first attempt resolution through good-faith negotiation for at least 30 days.
  • If negotiation fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
  • Arbitration will be conducted in English and located in Delaware, United States.
  • CLASS ACTION WAIVER: You waive your right to participate in class action lawsuits or class-wide arbitration.
  • Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction.

15 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by sending an email to the address associated with your account at least 30 days before the change takes effect. For non-material changes, posting the updated Terms on our website constitutes sufficient notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16 General Provisions

These Terms constitute the entire agreement between you and SyconX LLC regarding the Service and supersede all prior agreements.

  • If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.
  • Our failure to enforce any right or provision shall not be construed as a waiver of future enforcement.
  • You may not assign or transfer your rights under these Terms without our prior written consent.
  • We may assign our rights and obligations without restriction.
  • Notices to us must be sent to legal@syconx.com. Notices to you will be sent to the email on your account.
